3.1 DELEGATION TO THE EXECUTIVE DIRECTOR

The Board’s role and responsibilities are generally confined to establishing broad policies.  The Executive Director is responsible for implementation.  She/he will be assisted by staff in accomplishing organizational goals.  The Board and the Executive Director will mutually carry out their responsibilities.

The Executive Director is accountable to the Board as a whole, not to individual Board members, officers or committees.  The Executive Director is authorized to make all decisions, take all actions and develop all activities, as long as they are consistent with a reasonable interpretation of all Board approved policies. 

Board approved policies will direct the Executive Director to achieve certain results and to act within acceptable limitations of prudence, ethics and legality.

Any Board authority that is delegated to staff will be done through the Executive Director.
