1.7 EXECUTIVE OFFICER ROLES

PRESIDENT’S ROLE

The President, who is the principal link between the Board and the Executive Director, has accountability to the Board as a whole as well for the performance of the Agency.  As such, the President will provide leadership and ensure that the Board functions according to its policies.  As the only official spokesperson for the Board of Directors, except in specially authorized instances, the President will represent the Board to outside parties.

The President will:

  • Ensure that the Board operates as a team in a manner consistent with its own policies and those requirements legitimately imposed upon it from outside the Agency, e.g. legislation.
  • Work in partnership with the Executive Director and the committee chairs.
  • Encourage and enable Board members to prepare for and assume future leadership positions within the Agency.
  • Be an ex officio member of all committees of the Board.
  • Chair Board meetings ensuring adequate discussion while maintaining focus and meeting time constraints.

The President will be accountable to the Board.

VICE PRESIDENT’S ROLE

The Vice President will act in the absence of the President and therefore, will act closely and cooperatively with the President.

The Vice President will:

  • Be well versed on policy and by-laws in order to monitor Board conduct.
  • Perform other responsibilities at the request of the President or the Board.

The Vice President will be accountable to the Board.


SECRETARY/TREASURER’S ROLE

The role of the Secretary/Treasurer may be combined into one position and be called either Secretary/Treasurer or Treasurer.

The Secretary/Treasurer will:

  • Record or delegate to be recorded, accurate minutes of the Board and general membership meetings.
  • Be responsible or delegate the responsibility of ensuring that the Agency’s files, records and other relevant written materials are kept in a secure location, are recorded as needed and distributed accordingly (e.g., Board policies, by-laws, minutes, etc.)
  • Take a lead role in financial policy development and in monitoring the Agency’s finances.
  • Advise and assist the Board in understanding the Agency’s finances.
  • Chair the Resources Committee.

The Secretary/Treasurer will be accountable to the Board.

The role of the Secretary/Treasurer does not take away from the Executive Director’s accountability for budgeting and financial health.
