- Board Composition

The skills of Board members are compatible with the needs of the centre.

Board members reflect the diversity of the community served.

The Board has a by-law or policy regarding whether past and/or current
parents and clients can serve on the Board.
B. Board Structure and Functioning

* B. 1.1 MANDATORY
A financial statement is prepared and audited annually by a chartered
accountant approved by the members and made available for public
inspection.

The governance role, responsibilities and structure of the Board are clearly
defined in a written statement.

The centre's charter/letters patent enable the Board to set the overall
direction of the centre and to develop policies related to the operation of the
centre.

New Board members receive a formal orientation to the centre's history,
values, goals, objectives, programs, and methods of operation.

The centre has written policies and procedures which pertain to the
performance of the Board.

The Board ensures that the centre is funded, housed, staffed, and equipped
in a manner appropriate to its program of services.

intervals (not less than quarterly).

periodically reviewed by the Board.

regulations governing its services, employment of staff, and other

- Monitoring Outcomes and Quality

and assumes accountability for the outcomes produced by those services.

D. Delegating Authority

The Board has a process for delegating authority and maintaining
responsibility for the management of the centre.

The Board defines the qualifications, authority, responsibilities, and results
expected of the executive director.

The Board hires an Executive Director who is qualified to lead and manage a
children's mental health centre.

There is an up-to-date job description that defines the Executive Director’s
duties and responsibilities.

The Board evaluates the performance of the Executive Director.

There is an annual written evaluation of the performance of the Executive
Director.

The Board’s performance evaluation of the Executive Director is based on
the job description and indicators of performance established by the Board
in consultation with the Executive Director.
